A summary of selected transactions that illustrate Devonshire's merger,
acquisition and financing capabilities include:
- For Year 2000 Software Company, prepared business plan and raised
$2 million in expansion financing.
- For a web site development company, assisted with aggressive roll-up
acquisition program. Completed seven acquisitions and successful public
offering.
- For a UK based information monitoring company, planning, financing
and executing a roll-up/acquisition strategy.
- For a large publicly traded electronics company, acted as financial
advisor assisting with the planning of a major financing incorporating
the carve-out of three divisions and a public offering.
- For a U.S. publicly traded drug company, assisted with the acquisition
of a U.K. based chemical company and raised $150 million to finance
the acquisition;
- For a publicly traded Massachusetts based drug company, assisted with
the company's plans to spin-off one of its divisions, acquire a U.K.
based chemical manufacturing company, merge the two companies, and raise
$150 million finance the acquisition.
- For a start-up Internet software company, assisted in raising $4 million
first round venture capital financing and served as CFO for the company.
One year later, the company was sold to Microsoft for $138 million.
- For a U.S. based publicly traded gaming supply company, assisted with
the acquisition and financing of a privately held Canadian company in
the same business, conducted a valuation of both companies, negotiated
terms, arranged a $50 million acquisition financing package consisting
of $20 million of equity and $30 million of bank debt.
- For a major electronics manufacturing company, assisted with the formulation
of the strategy for the acquisition of a broad range of software companies,
identifying candidate companies, carrying out the company valuations
and assisting with structuring and negotiations;
- For a major semiconductor company, assisted with the acquisition of
a company in a complementary business, including evaluation, deal structure,
valuation and negotiations;
